1. Agreement to Terms

By accessing or using the services of Heart & Craft Talent ("we," "our," or "us"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services.

2. Services

Heart & Craft Talent provides recruitment and talent placement services, connecting qualified candidates with employers seeking to fill positions. Our services include candidate sourcing, screening, interview coordination, and placement facilitation.

3. Service Fees

3.1 Placement Fee

For successful placements, employers agree to pay Heart & Craft Talent a placement fee equal to 7% of the candidate's first-year annual salary. This fee is charged to the employer, and our services are free to all candidates. The fee is due upon the candidate's acceptance of the offer and commencement of employment.

3.2 Payment Terms

Payment is due within 30 days of invoice date. Late payments may be subject to interest charges and may result in suspension of services. All fees are non-refundable except as specifically provided in Section 4 (Refund Policy).

4. Refund Policy

4.1 100% Money-Back Guarantee

If a placed candidate voluntarily resigns or is terminated by the employer (for any reason) within 89 days of their start date (before the 90th day of employment), Heart & Craft Talent will provide a 100% refund of the placement fee. Once the candidate reaches 90 days of employment, no refund is available.

4.2 Refund Process

To qualify for a refund:

• The candidate must have left the position within 89 days of their start date (before the 90th day of employment)
• The employer must notify Heart & Craft Talent in writing within 10 business days of the candidate's departure
• The refund applies regardless of whether the candidate quit or was terminated by the employer

Refunds will be processed within 30 days of approval and will be issued to the original payment method.

4.3 Replacement Service

As an alternative to a refund, employers may request a replacement candidate search at no additional fee. This option must be exercised within 30 days of the original candidate's departure.

5. Employer Obligations

Employers agree to:

• Provide accurate job descriptions and requirements
• Conduct interviews in a professional and timely manner
• Make hiring decisions in good faith
• Pay all fees as agreed upon
• Notify Heart & Craft Talent promptly if a placed candidate leaves within the guarantee period
• Not circumvent our services by directly hiring candidates we have introduced for a period of 12 months

6. Candidate Obligations

Candidates agree to:

• Provide accurate and truthful information about their qualifications, experience, and background
• Attend scheduled interviews and respond to communications in a timely manner
• Notify Heart & Craft Talent of any changes to their employment status or availability
• Not misrepresent their skills, experience, or credentials

7. No Guarantee of Placement

While we strive to provide quality candidates and successful placements, Heart & Craft Talent does not guarantee that:

• Employers will find suitable candidates
• Candidates will be placed in positions
• Placements will result in long-term employment

Our services are provided on a best-efforts basis, and outcomes depend on various factors beyond our control.

8. Confidentiality

Both parties agree to maintain confidentiality regarding sensitive business information, candidate details, and proprietary information shared during the recruitment process. This obligation continues after the termination of our services.

9. Intellectual Property

All content, materials, and intellectual property on our website and in our services are owned by Heart & Craft Talent or our licensors. You may not reproduce, distribute, or create derivative works without our express written permission.

10. Limitation of Liability

To the maximum extent permitted by law, Heart & Craft Talent shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

11. Indemnification

You agree to indemnify and hold harmless Heart & Craft Talent, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any rights of another party.

12. Termination

Either party may terminate the service relationship at any time with written notice. Upon termination, all outstanding fees remain due and payable. Sections relating to confidentiality, payment obligations, and limitation of liability shall survive termination.

13. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, or through the courts of competent jurisdiction.

14. Modifications to Terms

We reserve the right to modify these Terms & Conditions at any time. Material changes will be communicated to active clients via email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms.

15. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Heart & Craft Talent operates, without regard to its conflict of law provisions.

16. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms & Conditions, together with any service agreements or addendums, constitute the entire agreement between you and Heart & Craft Talent regarding the use of our services and supersede all prior agreements and understandings.
